Commercial Solar & Battery Terms & Conditions (2026)
1. Definitions
“System” means the solar PV, battery storage, EV charging and associated electrical infrastructure supplied and installed.
“Works” means the design, supply, installation, commissioning and handover of the System.
“Energy Assured” means monitoring.
“Client” means the purchasing business or entity.
2. Scope of Works
Stratford Energy Solutions Ltd (“SES”) shall deliver the Works in accordance with the agreed proposal, design and specification.
The System is designed based on:
- site surveys
- information provided by the Client
- standard engineering assumptions
Any items not expressly included in the proposal are excluded.
3. Programme and Delivery
SES will use reasonable endeavours to meet agreed timelines.
Delivery may be affected by factors outside SES control, including:
- DNO approvals
- equipment availability
- weather
- site readiness
- third-party contractors
SES shall not be liable for delays caused by such factors.
4. Client Responsibilities
The Client shall:
- provide accurate technical and consumption data
- ensure safe and suitable site access
- ensure structural suitability of buildings
- obtain required permissions unless agreed otherwise
- ensure existing electrical systems are compliant
SES is not responsible for hidden defects or non-compliant infrastructure.
5. Grid Connection and DNO Applications
Unless otherwise agreed, the Client authorises SES to act on its behalf in submitting required applications to the Distribution Network Operator (DNO), including G98, G99 or G100.
DNO approval may:
- delay commissioning
- impose export limitations
- require design or cost changes
SES is not responsible for DNO decisions.
Additional costs arising from DNO requirements shall be agreed with the Client.
6. Design Assumptions and Variations
Design is based on:
- site conditions
- shading assumptions
- electrical infrastructure
- Client-provided data
If conditions differ materially, SES may:
- revise design
- adjust pricing
- propose alternatives
7. Payment Terms
Unless otherwise agreed:
- Deposit: 20–30% on order
- Materials Payment: up to 50% prior to delivery
- Practical Completion: balance due on installation completion
- Commissioning: subject to full payment
SES may:
- suspend works for non-payment
- charge interest on overdue sums
- retain title to goods until paid
8. Title and Risk
Risk transfers upon delivery to site.
Title remains with SES until full payment is received.
9. Variations
Variations must be agreed in writing.
SES may adjust:
- price
- programme
- scope
accordingly.
10. Unforeseen Conditions
Where unforeseen conditions arise, including:
- structural issues
- asbestos
- electrical non-compliance
- roof or ground defects
SES will notify the Client and agree any additional works or costs before proceeding.
11. Commissioning and Handover
Practical completion occurs when the system is installed and capable of operation.
Final commissioning may depend on:
- DNO approval
- metering
- grid connection
12. System Performance
Performance estimates are based on:
- recognised modelling tools
- irradiance data
- Client energy data
Actual performance may vary due to:
- weather
- usage patterns
- tariff changes
- system availability
- grid constraints
SES does not guarantee generation or financial savings.
13. System Operation and External Dependencies
System operation depends on external factors including:
- electricity network constraints
- DNO export limits or curtailment
- energy suppliers and tariffs
- smart metering
- internet connectivity
SES is not responsible for limitations caused by these factors.
14. Software, Monitoring and Optimisation
Solar and battery systems use manufacturer software and cloud platforms.
These:
- are controlled by manufacturers
- may be updated without notice
- may alter system behaviour
SES is not responsible for:
- software performance
- optimisation algorithms
- tariff integrations
- system behaviour changes
Post-installation adjustments may be chargeable.
15. Warranties
15.1 Workmanship Warranty
SES provides a 5-year workmanship warranty covering defects arising from installation.
This includes:
- mounting systems and fixings
- electrical installation
- system integration
15.2 Workmanship Exclusions
The workmanship warranty does not cover:
- equipment failure or performance
- roof integrity unless explicitly included
- environmental damage
- third-party interference
- building movement
- system optimisation or performance expectations
15.3 Equipment Warranty
All equipment is covered by manufacturer warranties.
These cover repair or replacement of faulty components in accordance with manufacturer terms.
SES is not responsible for:
- equipment failure
- manufacturer response times
- performance degradation
15.4 Equipment Warranty Support and Associated Costs
SES will provide reasonable support in diagnosing issues and facilitating manufacturer warranty claims.
Manufacturer warranties may not cover:
- access equipment (e.g. scaffolding, lifts)
- labour or site attendance
- transport or logistics
- specialist testing or recommissioning
Where such costs are not covered by the manufacturer, they may be chargeable to the Client.
SES will use reasonable endeavours to minimise such costs and seek manufacturer contributions where possible.
15.5 Losses
SES is not liable for:
- loss of generation
- loss of revenue
- loss of savings
during equipment failure, downtime or repair periods.
16. Energy Assured – Monitoring, Energy & Inspection Services
Where the Client subscribes to Stratford Energy’s Energy Assured Service Plan, the following services shall apply:
16.1 Overview
Energy Assured is Stratford Energy’s ongoing Operations & Maintenance (O&M) service designed to support system performance, visibility and long-term value.
16.2 Monitoring
SES will remotely monitor the operational performance and health of the System using available monitoring platforms.
- SES will use reasonable endeavours to identify:
- system faults or alerts
- performance anomalies
- optimisation opportunities
- SES will notify the Client of any identified issues or recommendations.
Dependency: Monitoring services rely on continuous internet connectivity and functioning monitoring hardware. SES is not responsible for monitoring interruptions caused by connectivity failure, third-party platforms, or equipment issues outside its control.
16.3 Energy Assessment
SES will, on an annual basis, review the Client’s energy usage and system performance.
This may include:
- review of current and alternative energy tariffs
- system usage optimisation (e.g. battery strategy, export settings)
- identification of potential cost-saving opportunities
Where appropriate, SES may collaborate with partners and suppliers to support this assessment.
SES does not guarantee savings outcomes, as these depend on market conditions, tariffs and Client usage behaviour.
16.4 Annual Inspection
SES will arrange one annual site visit to inspect the installed System.
This inspection includes:
- visual inspection of accessible equipment
- basic system checks
- identification of visible issues or risks
This inspection does not include:
- roof-level inspections
- invasive testing
- repairs or maintenance works
Where additional works are identified, SES will provide recommendations and, if requested, a separate quotation.
16.5 Call-Outs and Additional Services
Where the Energy Assured plan is active:
- additional call-outs beyond the annual inspection will be charged at cost
- remedial works, repairs, or upgrades are excluded and separately chargeable
16.6 General Limitations and Pricing
Energy Assured services:
- are advisory and support-based
- do not guarantee system performance, uptime or financial outcomes
- are subject to access, system connectivity and third-party platform availability
- Service fees will be reviewed annually and adjusted in line with the Consumer Prices Index (CPI), subject to a minimum increase of 3% per annum.
16.7 Term and Renewal (Energy Assured)
The Energy Assured Service Plan shall commence on the date of system commissioning and shall continue for an initial period of 12 months (“Initial Term”).
Thereafter, the Service Plan shall automatically renew for successive 12-month periods (each a “Renewal Term”) unless either party gives not less than 30 days’ written notice prior to the end of the Initial Term or any Renewal Term.
Stratford Energy Solutions Ltd reserves the right to review and adjust the Service Plan fees upon renewal in accordance with Clause 16.6.
17. Health and Safety
SES will comply with all applicable health and safety legislation.
The Client must disclose hazards and ensure site safety.
18. Insurance
SES maintains appropriate insurance.
The Client is responsible for insuring the system after installation.
19. Limitation of Liability
SES total liability shall not exceed the contract value.
SES is not liable for:
- indirect or consequential losses
- loss of profit or revenue
- tariff changes
- energy price changes
- grid constraints
Nothing excludes liability for death, personal injury or fraud.
20. Force Majeure
SES is not liable for delays or failure due to events beyond control, including:
- supply chain disruption
- war or geopolitical events
- energy market disruption
- extreme weather
21. Termination
SES may suspend or terminate if:
- payments are not made
- access is not provided
- Client breaches obligations
Client remains liable for costs incurred.
22. Data Protection
Data will be processed in accordance with UK GDPR and may be shared with:
- DNOs
- funders
- certification bodies
- manufacturers
23. Dispute Resolution
Disputes shall first be resolved through negotiation.
If unresolved, disputes may proceed to mediation or arbitration under English law.
24. Governing Law
This agreement is governed by the laws of England and Wales.
